Job Summary As an experienced Associate in the Corporate practice, you will play a pivotal role in providing high-quality legal advice and services to our clients. You will be responsible for managing complex corporate transactions, drafting and negotiating contracts, and providing general business advice to clients. Qualification Bachelor of Laws (LLB) and Call to the Nigerian Bar (BL) minimum; and Master of Laws (LLM) optional Experience: Minimum of three (3) years experience in providing legal advisory services on simple to complex corporate/ commercial transactions. Experience gained from working in a commercial law firm or in-house legal team Personnel Specification Candidate must possess a demonstrable and applicable knowledge of legal issues pertinent to the corporate commercial/transactional practice. Can succinctly explain core legal issues to colleagues and clients effectively. Ability to recognize, understand, analyze, and classify commercial as well as legal issues and the context in which legal issues arise. Use the analysis to identify relevant and applicable concepts and facts as well as identify alternative legal and commercial solutions to issues that arise on transactions. Displays the requisite flexibility in meeting client demands and is relentlessly focused on outcomes. Manages time effectively and delivers on the expectations of the corporate services group’s objectives and clients. Ability to note gaps and ambiguities in the information provided and to follow through in resolving them, as well as the ability to conduct proper and extensive research on all matters using relevant and up-to-date sources Ability to give a risk-based analysis - explaining possible consequences, the likelihood of those consequences, and ways to mitigate or eliminate risk. Brings a sense of tact, discipline and urgency in the delivery of legal services in the Corporate commercial practice. Knowledge Needs Candidate must have sufficient knowledge of commercial law, including, but not limited to: Corporate law and general business advisory matters. Structuring and negotiating terms of complex commercial transactions including mergers and acquisitions, corporate restructuring and reorganization, business and asset sales, strategic alliance and joint venture arrangement. Structuring and negotiating terms of capital market transactions, fundraising, and private equity deals. Conducting and coordinating due diligence exercise in relation to an M&A Transaction; supervise and reviewing the due diligence report and presenting an accurate report of the risks to the client as necessary. Drafting and negotiating relevant documentation in relation to an M&A Transaction including Term sheets, Share Purchase Agreements, Shareholders Agreements, Share Subscription Agreements, and Joint Venture Agreements. Skills Excellent communication and strong presentation skills. Strong problem-solving, listening and learning skills, and analytical thinking. Requires the ability to understand technical issues. Absolute command of Microsoft office applications (Outlook, Word, Excel, Power Point, and Access). Familiarity with Internet Explorer and search engines on the World Wide Web. Administrative ability.
