We are currently seeking an experienced professional to join our team in the role of Legal Counsel Role purpose: HSBC has established a Global Service Center (GSC) in Mexico as a critical element in the Bank’s broader location strategy. As part of this strategic initiative, the United States (US) Legal Function will be creating a presence in the Mexico GSC. The GSC Legal team will act as an extension of onshore Legal teams based in the US by providing para-professional, operational, or administrative support around a number of activities. Join this team in its early stages, and you’ll have the opportunity to help design the model that we’ll use and prioritize activities to transition as the team continues to grow over the next several years, expanding the scope and complexity of support provided to onshore Legal teams. Additionally, team members will be exposed to both US and Mexican law, interact with members of the US Legal Function that manage a wide variety of financial services products, and collaborate with the senior leadership team in the Mexico GSC. Main activities: The legal counsel role on the GSC Legal team will act as an extension of onshore Legal teams, providing remote support for a number of para-professional activities that do not require direct on-site interaction. The scope of activities will continue to evolve as the team matures; however, initial expectations for the role will include the following:
Assist in the preparation and review of routine legal documents including Non-Disclosure Agreements, Power of Attorney, Marketing Letters, Cross Border Guaranties, and Real Estate Documents.
Create simple agreements using existing templates, e.g., amendments and assignments.
To undertake negotiation and execution of Derivative contracts (ISDAs) and other related agreements, in accordance with internal policies.
Produce first draft of global documents with standard US terms included for attorney review, and in general, draft local agreements, simple amendments, or templates with required clauses
Participate in calls and prepare minutes.
Track updated clauses and risk acceptance, clean-up documents, flag issues for business/subject matter expert (SME) review, correspond with SMEs, and coordinate review of supporting documents including but not limited to attachments and policies as needed.
Assist with creation of guidance documents, playbooks and other contracting and negotiation tools.
Analyze complex corporate structures for credit and lending transactions, and provide opinion, summaries and analysis.
Conduct legal research as needed.
Consolidate changes and grammatical corrections on revised agreements.
Track lease statuses and associated documents, including preparation of estoppel certificates.
Create and distribute reports to internal stakeholders on lease updates.
Assist in updating real estate template forms to incorporate required or modified provisions.
Coordinate with the Litigation team on corporate services litigation matters.
Assist with contract remediation projects, correspond with Procurement about contracts,
Identify any areas for improvement and feel confident to raise them.
Required to display Leadership and team work for efficient completion of work
Requirements
Qualified legal professional with required licenses.
Prior relevant work experience within banking / financial services industry including experience in legal documentation, regulatory & compliance matters.
Experience with different types of contract, including commercial contracts, drafting and negotiating.
Ability to manage and develop a team across a diverse range of processes/products.
Proven ability of innovativeness and challenging the status quo.
Proven experience of positive, challenging interactions with Senior Managers across functions.
Strong organization skills.
Advanced technical acumen, specifically MS Excel and MS Word.
Ability to prioritize and handle multiple tasks at once.
Ability to spot patterns and trends and escalate issues as needed.
Exceptional judgmental skills to balance between seeking clarification and taking ownership.
Fluency in English (verbal and written).
