Job Title: Corporate Legal Associate Job Description: The Corporate Legal Associate will assist in providing legal counsel and support to the organization on corporate matters, including governance, contracts, compliance, mergers and acquisitions, and regulatory matters. The role involves working closely with senior legal counsel and various departments to ensure that the company’s operations and transactions comply with all relevant laws and regulations. Key Responsibilities:
Corporate Governance:
Assist with preparing, reviewing, and maintaining corporate documents such as board resolutions, shareholder agreements, and other governance-related documents.
Advise on compliance with corporate laws and regulations, including maintaining corporate records and ensuring adherence to bylaws and company policies.
Contracts and Agreements:
Draft, review, and negotiate various commercial agreements, including vendor contracts, partnership agreements, non-disclosure agreements (NDAs), and service contracts.
Ensure contracts are compliant with relevant legal standards and in the best interest of the company.
Mergers & Acquisitions:
Provide legal support for mergers, acquisitions, and other corporate transactions.
Conduct legal due diligence on potential transactions and assist in the preparation of related legal documents.
Compliance and Regulatory Matters:
Advise on matters related to corporate compliance, ensuring the company meets local, state, and federal regulatory requirements.
Collaborate with the compliance team to ensure policies and practices are aligned with applicable laws and regulations.
Litigation Support:
Assist with managing litigation, disputes, and other legal claims.
Liaise with outside counsel as needed for litigation matters and help oversee the resolution process.
Research and Risk Mitigation:
Conduct legal research on corporate law, industry regulations, and evolving legal trends that could impact the organization.
Provide advice on risk management and mitigation strategies.
Internal Stakeholder Collaboration:
Work with cross-functional teams including finance, human resources, and operations to provide legal guidance on business initiatives and projects.
Assist in training internal stakeholders on legal matters and best practices.
Required Qualifications:
Education: Juris Doctor (JD) degree from an accredited law school.
License: Licensed to practice law in the relevant jurisdiction.
Experience: 2-5 years of experience in corporate law, preferably with exposure to corporate governance, M&A, contracts, and compliance matters.
Skills:
Strong drafting and negotiation skills.
Excellent written and verbal communication skills.
Ability to work collaboratively with internal teams and external counsel.
High attention to detail and strong analytical skills.
Ability to manage multiple projects and prioritize in a fast-paced environment.
Preferred Qualifications:
Experience in a corporate legal department or large law firm.
Familiarity with securities law and regulatory filings.
Prior experience working with start-ups or technology companies.
