As a Corporate Governance Specialist, you will assist with managing the company’s subsidiary operations, overseeing all corporate governance matters for over 130 legal entities across 95 countries. Your responsibilities will include managing entity management software (Diligent Entities), handling time-sensitive documents for international use, preparing corporate resolutions and other subsidiary documents, and supporting the opening of new markets and entities. You will work closely with the corporate governance, contracts, and securities legal team, preparing and revising legal documents, maintaining legal files, conducting legal research, and providing administrative support such as processing expenses and invoices.
In this role, you will:
Manage the Entity Management System on Diligent Entities, including customizing data fields and the data library
Create and manage user accounts, ensuring security settings and permission-trimmed libraries
Upload historical documents along with relevant data points
Prepare, review, and revise legal documents under the supervision of the legal team, including entity formations, corporate name registrations, fictitious name filings, amendments, qualifications, withdrawals, mergers, dissolutions, and other transactions
Review, analyze, and organize factual information and documents
Ensure corporate subsidiary maintenance in compliance with appropriate jurisdictions
Review and summarize key points of legal and business documents
Perform legal and business research, including statutory research, market background, financial statements, government activities, and rulings
Form corporate entities and maintain them in good standing
Maintain director and officer election information for subsidiaries, registrations, registered agents, and good standing certifications
Assist with creating or obtaining requested Corporate Action Request documentation (Powers of Attorney, Resolutions, Secretary’s Certificates, organizational charts, agendas, notices, minutes, etc.) and obtaining related signed authorizations for business transactions
Coordinate and collaborate with regional offices and other departments
Track time-sensitive documents legalized by the U.S. government and/or foreign consulates for use in foreign countries
Serve as the custodian of active and historical subsidiary records, minute books, and website databases
Perform other legal and administrative tasks at the request of the legal team’s attorney.
Our requirements:
Min. 2-3 years of professional experience, preferably in a role supporting the corporate governance function, ideally at a global public company
Strong understanding of entity management, corporate governance, and corporate records requirements
Familiarity with time-sensitive U.S. and foreign documents that require legalizing
Technical experience with corporate governance entity management systems and software (such as Diligent Entities or GEMS), including uploading, maintaining, and updating information and documents related to business filings and regulatory compliance
Experience with entity and subsidiary management software, including uploading, maintaining, and updating information and documents related to business filings and regulatory compliance
Ability to adapt priorities to meet deadlines
Proficiency in Microsoft Office, including Word, Excel, Power Point, and Visio
Excellent written and oral communication skills
Proficient in English, minimum C1 level
Positive professional demeanor
Ability to work with diverse personalities at all levels, with sensitivity to cultural diversity
University degree, preferably in the humanities.
