Semi Qualified Company Secretary

  • A Company Secretary plays a critical role in ensuring a company's compliance with legal and regulatory requirements, as well as managing its corporate governance. Below are common responsibilities and qualifications for a Company Secretary:
  • Key Responsibilities:
  • 1. Corporate Governance:
  • Ensure the company complies with statutory and regulatory requirements.
  • Advise the board of directors on corporate governance best practices.
  • Maintain the highest standards of corporate governance, particularly regarding board activities.
  • Board and Committee Support:
  • Organize and prepare agendas for board meetings and annual general meetings (AGMs).
  • Record minutes and follow up on action points from meetings.
  • Advise the board on relevant legislative and regulatory changes
  • 3. Statutory Compliance:
  • Maintain statutory books, including registers of members, directors, and secretaries.
  • File annual returns and ensure timely submission of statutory filings with regulatory bodies (e.g., Registrar of Companies).
  • Ensure compliance with statutory requirements like the Companies Act.
  • 4. Legal & Compliance:
  • Provide advice on corporate legal matters and ensure that the company follows all legal guidelines.
  • Oversee contract execution and ensure legal documents are in order.
  • Maintain relationships with regulators and auditors.
  • 5. Communication:
  • Act as the company’s representative on legal documentation and communication with stakeholders.
  • Ensure the smooth running of all shareholder communication and relations.
  • Liaise with external regulators and advisers, such as lawyers and auditors.
  • 6. Risk Management:
  • Help in the identification and management of risks.
  • Ensure proper implementation of internal controls and processes.
  • 7. Corporate Social Responsibility (CSR) and Sustainability:
  • Assist in the development of CSR and sustainability strategies.
  • Key Qualifications and Skills:
  • 1. Educational Qualifications:
  • Bachelor's degree in law, business administration, finance, or related fields.
  • Qualification as a Company Secretary (ICSI/ICSA or equivalent).
  • 2. Skills:
  • Excellent knowledge of corporate law and governance practices.
  • Strong organizational and communication skills.
  • Ability to maintain confidentiality and handle sensitive information.
  • High attention to detail and accuracy in documentation.
  • 3. Experience:
  • Previous experience as a Company Secretary, ideally in a corporate environment.
  • Experience dealing with regulatory filings and corporate governance.
  • 4. Technical Knowledge:
  • Familiarity with relevant laws and regulations, such as the Companies Act.
  • Proficient in using software for document management and regulatory filings.
