Company Secretary

Key Responsibilities
  • Manage and develop the portfolio of company secretarial clients;
  • Schedule and convene trust, board, and subcommittee meetings;
  • Prepare, consolidate and circulate board, trust and subcommittee packs ahead of meetings;
  • Participate in board meetings, preparing first draft of minutes and matters arising;
  • Liaise with boards, shareholders, beneficiaries, auditors, bankers, and other external- and internal parties (as required);
  • Prepare and file statutory documents, including beneficial owner registers, with CIPC and the Master of the High Court;
  • Maintain statutory registers and minutes;
  • Manage other administrative duties, including but not limited to, client due diligences in terms of FICA;
  • Other ad-hoc administrative support for the Wauko Group.
Qualification and experience
  • Completed recognised company secretarial qualification / Chartered Secretaries (CIS) qualification / legal qualification (preferred);
  • Up-to-date understanding of the Companies Act and the Trust Property Control Act;
  • Experience in attending board and subcommittee meetings;
  • Experience in working with both CIPC and Master of the High Court, the latter in respect of trusts;
  • Basic knowledge of the Financial Intelligence Centre Act;
  • Experience in conducting client due diligence in terms of FICA (preferred);
  • Excellent MS Office skills and ability to adapt to technical developments.

  • Ability to communicate with external parties as well as all levels within the business in a clear and articulate manner;
  • Excellent attention to detail, organised, analytical, self-driven and able to work independently;

  • Bachelors (Required)
Experience:
  • Post Articles: 1 year (Required)
  • Company Secretary and FICA Compliance: 1 year (Required)
Language:
  • English and Afrikaans (Preferred)
