As Legal Counsel at Foleon, your primary mission is to support various business areas in contracting activities. You will work closely with stakeholders to drive execution and elevate the level of commercial and legal expertise around contracting for various business areas. You will be working alongside the various commercial and customer teams (EMEA and US) and will be responsible for reviewing, redlining, and negotiation of customer contracts. This will also involve actively collaborating with the customer’s legal team. Additionally, you will work alongside the Head of Legal to work through the entire contract lifecycle management process for vendor procurement. This includes working with key stakeholders in various departments through Foleon.
You will be crucial in maintaining our contract management system and ensuring that all contract templates are up-to-date and adequately stored.
Key Responsibilities
Manage Customer Contracting and Negotiations: Handle customer contracting activities for our EMEA and US operations, including review, redlining, negotiations, and, when needed, collaboration with external attorneys.
Vendor Contract Review: Review important legal vendor and supplier contracts, ensuring compliance with company policies and objectives
Legal Compliance and Research: Stay current with changes in relevant laws, regulations, and case law related to contract management and related areas, conducting in-depth legal research to inform and enhance decision-making processes
Contract Template Management: Collaborate with the Head of Legal to maintain and update customer contract templates, including Master Services Agreements (MSA), Terms and Conditions (T&Cs), order forms, and Data Processing Agreements (DPA).
Contract Management: Ensuring the contract management tool is diligently maintained and up-to-date, providing a streamlined and organized repository for all contracts, and contributing to efficient and compliant contract management practices
Legal Research: You will stay up-to-date on the developments in the various local laws and regulations as well as legal best practices.
Training: Develop and conduct training for commercial teams, focusing on negotiation skills, legal best practices and focusing on enhancing proficiency in using the Contract Lifecycle Management (CLM) tool.

Qualifications
Master’s Degree: Hold a Bachelor's degree in Law or higher.
Legal Experience: Possess at least 3 years of legal experience, preferably in an international environment.
Legal Knowledge: Demonstrate general knowledge of Dutch and US law.
Contracting Expertise: Have at least 2 years of experience in negotiating commercial contracts commercial agreements, including service agreements and non-disclosure agreements.
Industry Experience: Preferably, have experience within the tech, IT, or Saa S industry.
