Job Overview: The CS Intern will assist the Company Secretary and the legal & compliance team in ensuring that the company complies with applicable laws and regulations. The role involves exposure to various facets of corporate governance, regulatory filings, board meeting documentation, and statutory compliance under the Companies Act, 2013, and other related laws. Key Responsibilities:
Compliance and Filings: Assist in preparing, reviewing, and filing statutory documents, forms, and returns with regulatory authorities like the Ministry of Corporate Affairs (MCA), Securities and Exchange Board of India (SEBI), and Registrar of Companies (ROC).
Board Meetings Support: Help in drafting notices, agendas, and minutes of Board and Committee meetings, and maintaining statutory registers.
Corporate Governance: Support in ensuring compliance with the Companies Act, 2013, and other relevant laws applicable to the company.
Legal Documentation: Assist in the preparation and review of various corporate documents, agreements, resolutions, and contracts.
Research: Conduct legal research on emerging corporate governance trends, compliance requirements, and regulatory updates.
Secretarial Audits: Assist in secretarial audits and due diligence processes, including the maintenance of proper records.
Stakeholder Support: Support the company secretary in liaising with stakeholders, such as shareholders, regulators, and legal advisors, for various compliance-related matters.
Records Maintenance: Ensure accurate maintenance and filing of important records such as agreements, company policies, and legal documents.
Qualifications & Skills:
Education: Pursuing Company Secretary (CS) course from the Institute of Company Secretaries of India (ICSI) and currently in Executive or Professional level.
Knowledge: Basic understanding of the Companies Act, 2013, SEBI regulations, and corporate governance principles.
