We are a group of comapny and looking forward for company sectary The Company Secretary (C.S.) is a senior position responsible for overseeing the efficient administration of a company, ensuring compliance with legal and regulatory frameworks, and implementing decisions made by the board of directors. The role involves advising on corporate governance, ensuring that the company operates within the law, and managing essential company records. Key Responsibilities:
Governance & Compliance:
Ensure that the company complies with all applicable laws and regulations, including corporate governance standards.
Advise the board on their legal and governance responsibilities, and ensure the implementation of board decisions.
Organize and prepare agendas and papers for board meetings, committees, and annual general meetings (AGMs).
Ensure that board members are aware of their legal duties and responsibilities under company law.
Board & Shareholder Communication:
Act as a point of communication between the board of directors and shareholders.
Manage shareholder relations, handle shareholder queries, and oversee the payment of dividends.
Keep an accurate record of meetings (e.g., minutes), resolutions, and decisions, and ensure that these records are securely maintained.
Facilitate and assist in organizing the Annual General Meeting (AGM) and other meetings with stakeholders.
Legal & Regulatory Compliance:
Ensure the timely filing of statutory returns and forms with the relevant authorities (such as the Registrar of Companies, Securities and Exchange Commission).
Ensure compliance with legal requirements, such as tax filings, company registration, and changes in the structure of the company (e.g., directors’ appointments or resignations).
Maintain a register of directors and secretaries, shareholding, and other key corporate records.
Stay updated with the latest regulations and legal requirements affecting the company and advise management on necessary actions.
Risk Management & Corporate Governance:
Develop and implement robust corporate governance policies and procedures.
Manage and monitor the risk management processes within the company.
Ensure that the company complies with the standards of good corporate governance.
Corporate Reporting & Documentation:
Prepare and file the company’s annual reports, financial statements, and other key documents with regulators.
Handle legal documentation such as agreements, company contracts, and other important documents.
Ensure that company records (statutory books) are accurate and up to date, including the register of members, directors, and shareholders.
Liaison & Coordination:
Liaise with external regulators, lawyers, auditors, and other service providers regarding corporate matters.
Coordinate the preparation of annual reports, financial statements, and compliance documents with various departments.
Skills and Qualifications:
Legal and Corporate Knowledge: In-depth understanding of company law, corporate governance, and regulatory requirements.
Organizational Skills: Excellent organizational abilities to manage corporate records and documentation, and to ensure timely compliance with legal deadlines.
Communication Skills: Strong written and verbal communication skills to advise the board and shareholders, and liaise with regulators.
Attention to Detail: Ensuring that all documents, reports, and filings are accurate and compliant with laws and regulations.
Problem-Solving Skills: Ability to anticipate and address issues related to governance, risk management, and compliance.
Ethics and Confidentiality: High level of integrity and the ability to manage confidential information with discretion.
Leadership and Diplomacy: Ability to interact effectively with board members, senior management, and external authorities, often requiring negotiation and tact.
Preferred Experience and Education:
Qualifications: Typically, a qualified company secretary holds certifications such as ICSA (Institute of Chartered Secretaries and Administrators) or a degree in law, business, or finance.
Experience: Prior experience working as a company secretary or in a corporate governance role is often required. Experience in legal or regulatory environments may also be an advantage.
Regulatory Knowledge: Comprehensive understanding of corporate governance practices, company law, and financial reporting standards.
