DESIGNATION : Assistant Director (Governance & Compliance)
RESPONSIBILITIES
National Gallery Singapore is seeking a high-performing and strategic-minded individual for the role of Assistant Director (Governance & Compliance). Reporting to Deputy Director (Planning & Governance), the individual will be instrumental in developing organisation-level policies and guidelines, in areas such as Board governance, data and knowledge management and cross-cutting business processes, managing risks, overseeing compliance, and facilitating effective communication between the board, its committees, and senior management. The role requires a strategic thinker with a strong understanding of corporate governance principles, regulatory requirements, and best practices.
RESPONSIBILITIES
Corporate Governance & Administration
- Assist in ensuring compliance with the Code of Governance and adherence to regulatory requirements.
- Assists in timely preparation for filing corporate governance documents to the relevant regulatory authorities, including, but not limited to, Board policies, General Meeting minutes, annual returns, budgets, work plans, and amendments where required.
- Contribute to the strategic planning process, ensuring governance considerations are integrated into the organisation's strategic objectives.
- Coordinate and manage board and board committee meetings, including agenda preparation, distribution of materials, minute-taking and drafting of resolutions, ensuring timely and accurate documentation of board decisions and actions.
- Assist in the evaluation of board and committee performance.
- Maintain and manage the board and committee membership, including renewals, onboard meetings for new members, board training and maintaining due diligence documentation on new and existing board members.
- Liaise with internal stakeholders, including senior management, board members, and committee members, to facilitate effective communication and collaboration on governance matters, acting as a point of contact for governance-related queries and requests
- Maintain accurate and up to date records of governance related documents, reviewing and updating policies and internal control processes where required.
- Conduct regular reviews and assessments to ensure adherence to regulatory requirements, internal policies, and industry best practices.
- Work with the appointed auditors for internal audits where required
- Contribute to the development of risk management strategies and contingency plans, supporting the identification, assessment, and mitigation of governance-related risks
- Participate in corporate events as required
- Perform any other duties as directed and assigned by the Reporting Officer
Enterprise Data & Process Management:
- Develop, review and manage enterprise-level policies and guidelines for key business processes such as Board SOPs, data and knowledge management.
- Establish policies, standards, and guidelines for knowledge management practices across the organisation, creating and managing templates, guides, and other resources to facilitate knowledge capture and sharing.
- Put in place and maintain a centralised repository of above-mentioned business processes to facilitate organisational awareness and implementation.
- Collaborate and provide inputs on continuous improvement of data collection to ensure accurate and insightful performance reporting and research outcomes.
- Collaborate with IT as a key business owner to design and implement performance and knowledge management systems to facilitate monitoring and evaluation of organisational effectiveness, ensuring user-friendliness and accessibility to all Gallery staff.
- Foster a culture of continuous learning and improvement within the organisation.
Enterprise Risk Management
- To support the periodic review of the Gallery's enterprise risk management framework, annual risk assessments with quarterly reporting of risk movements and the integration of risk management considerations into the strategic planning process
- To collaborate with department leaders to develop and implement risk mitigation strategies and action plans and prepare regular performance and risk management reviews and reports.
QUALIFICATIONS
- Degree in a relevant field (e.g. Social Sciences, Public Policy, Business Administration, or a related discipline)
- Preferably at least 5 to 8 years of public sector experience in policy, governance, risk management or strategic planning work
- Demonstrated experience in developing and implementing governance frameworks and policies
- Experience in the nonprofit sector or a related field is highly desirable
- Professional certification in governance, risk management or compliance is an advantage
- Familiarity with corporate governance principles, regulations and best practices for charities/non-profit organisations
- Strong analytical skills with ability to translate complex data into clear and actionable insights
- Excellent written and verbal communication skills.
- Excellent project management skills and attention to detail.
- Ability to work collaboratively in a multidisciplinary team environment.
- Proactive in engaging stakeholders at various levels and build strong relationships
- Interest in the arts preferred.
