We are currently looking to fill the role of Associate Corporate Counsel, responsible for legal research and opinion, drafting, review and renewal of contracts and compliance with the applicable laws and regulations by the business.
A day in the life of the Associate Corporate Counsel:
Protect the interest of Nestlé in commercial transactions by preparing and vetting all contracts, documents and correspondence to mitigate the risk exposure of Nestlé and ensure that commercial terms are favourable to Nestlé.
Provide legal advice and guidance to the Company and its Business Units to ensure compliance with applicable laws, regulations and policies.
Review Bills and regulations applicable to the business and prepare advocacy paper to be used for engagement with the internal and external stakeholders to protect the interest of the business.
Collaborate with the Company Secretary/Legal Adviser to protect the proprietary rights (intellectual property, brand equity, trademarks) of Nestlé by providing support to and guaranteeing information flow between the relevant stakeholders (Security, Man Com, Legal Manager, Regulatory and Business Unit) for the investigation of counterfeiting activities.
Assist the Company Secretary/Legal Adviser to prepare the board and committee papers, keep records, make the relevant returns to the appropriate regulatory agencies and provide support on corporate governance.
Review court processes and documents to be filed on behalf of Nestlé, attend court sitting on behalf of Nestlé and maintain a database of all active cases.
Conduct inspections and searches on real estate matters and write reports to guide business decision.
Liaise with the banks to verify the bank guarantees submitted by distributors and vendors are genuine and update Contract schedule with tracker to trigger renewal discussions with the stakeholders before the renewal date.
Coordinate external service providers / internal stakeholders to facilitate successful AGM; custody, collation of annual report and unclaimed dividend mandate with our shareholders and Registrars; raising of Purchase Orders and Purchase Requisitions for the payment of bills of vendors of Legal department.
What Will Make You Successful?
Bachelor of Law (LL.B) and B.L
Member of the Institute of Chartered Secretaries and Administrators of Nigeria (ICSAN)
Sound knowledge of the Nigerian legal system and applicable corporate laws
Minimum 3 years of experience in corporate/commercial law and practice
Knowledge of general regulatory and compliance best practices
Good understanding of data privacy law, intellectual property and commercial litigation
Experience in Corporate Governance and Secretaryship
Good communication and research skills
Must be computer literate
